UK Trade Services Sub-Contractor Agreement

1. Engagement & Regulatory Status

Self-Employed / Independent Contractor

This agreement constitutes a contract for services, not a contract of service. Nothing herein creates an employer-employee relationship, agency, partnership, or joint venture, protecting the platform against UK IR35 and employment tribunal claims.

Non-Exclusive Engagement

The Sub-Contractor remains free to accept work from other sources, platforms, or direct clients when not actively engaged on an accepted dispatch via the platform.

Right of Substitution

If a Limited Company or partnership, the Sub-Contractor retains the right to send an equally qualified, vetted, and verified employee or sub-subcontractor to carry out the job, provided that substitute has passed the platform's onboarding and compliance verification.

2. Compliance & Onboarding Prerequisites

Active dispatch status requires continuous compliance with all of the following:

  • •Valid Public Liability Insurance (£1m – £2m+ depending on trade)
  • •Active Regulatory Licence (Gas Safe / ECS / MLA as applicable)
  • •Clear Basic DBS Check (less than 12 months old)
  • •Valid UK Right to Work Status

Mandatory Qualifications

The Sub-Contractor warrants that they hold, and will maintain, all statutory registrations required by UK law to execute their designated trade (e.g. Gas Safe Register, NICEIC/NAPIT Part P, Master Locksmiths Association).

Continuous Verification

The Sub-Contractor agrees to allow automated weekly/monthly verification checks of their licenses and identity. Failure to maintain active registration results in immediate, automated deactivation.

Vehicle & Tools

The Sub-Contractor is solely responsible for providing, maintaining, and insuring their own commercial vehicle, tools, test equipment, and personal protective equipment (PPE).

3. Service Level Agreements (SLAs) & Performance Standards

Emergency SLA timeline: Accept Job → En Route (< 5 mins) → On-Site Arrival (< 45 mins).

4. Financial Terms & Payment Architecture

Fee Structure & Split

Emergency call-out and hourly rates are set by the Company and presented on the job offer screen. The Company retains a Platform Service Fee (take rate) of 20% (+ VAT where applicable) of the gross labour charge.

Materials Surcharge

Materials supplied by the Sub-Contractor are compensated at wholesale cost plus an agreed 15% markup, subject to customer pre-approval in-app for items over £50. Receipts must be uploaded via the app.

Payout Schedule

Payouts are executed via Stripe Connect within 48–72 hours of successful digital job sign-off by the customer, less the Platform Service Fee.

No Direct Payments

The Sub-Contractor strictly agrees not to solicit or accept cash, direct bank transfers, or off-platform payment from customers introduced by the platform. Breach results in instant termination and liquidated damages equal to the estimated job value.

5. Insurance & Indemnity Requirements

Minimum Cover Limits

  • •Public Liability Insurance: minimum £2,000,000 for Gas, Heating, Plumbing and Electrical; minimum £1,000,000 for Locksmiths and general trades.
  • •Employers' Liability Insurance: minimum £5,000,000 (mandatory if employing staff or using substitutes).
  • •Commercial Motor Insurance: business-use cover for all vehicles utilised on dispatches.

Indemnity Clause

The Sub-Contractor shall fully indemnify and hold harmless the Company against all claims, costs, damages, expenses, liabilities, and legal fees arising out of poor workmanship, negligence, or breach of statutory duty; physical damage to customer property caused during the provision of services; and personal injury or death caused by the Sub-Contractor's actions or omissions.

6. Limitation of Liability & Defective Work Remedies

Workmanship Guarantee

The Sub-Contractor provides a mandatory 12-month guarantee on all labour performed.

Rectification Protocol (Call-Backs)

If a customer logs a defect or leak within 30 days attributable to the Sub-Contractor's work, the Sub-Contractor must return to rectify the issue within 24 hours at zero charge. If the Sub-Contractor refuses or fails to attend, the Company may dispatch another trade and claw back the costs from the original Sub-Contractor's Stripe payout balance or issue a formal invoice.

Company Liability Cap

To the maximum extent permitted by UK law, the Company's aggregate liability to the Sub-Contractor under this agreement is capped at the total Platform Fees earned by the Company from that Sub-Contractor in the preceding 3 months.

7. Termination & Dispute Resolution

Dispute resolution pathway: Dispute Raised → Notice & Mediation (7 Days) → Binding Arbitration / Small Claims.

Termination for Convenience

Either party may terminate this agreement at any time by giving 7 days' written notice via the app.

Immediate Termination for Cause

The Company may terminate or suspend the agreement immediately without notice if the Sub-Contractor:

  • •Loses their mandatory trade registration, insurance, or Right to Work status.
  • •Commits a material breach of safety standards (e.g. a Gas Safe violation).
  • •Engages in fraudulent behaviour, off-platform solicitation, abusive conduct, or criminal activity.

Governing Law

This agreement is governed by the laws of England and Wales, and both parties submit to the exclusive jurisdiction of the English courts.
